An NDA is a standalone contract focused entirely on protecting confidential information. A confidentiality clause is a provision within a larger contract. The legal effect is similar — both create binding obligations — but the scope and context differ.

When Each Is Used

Standalone NDAs are used before relationships begin — during negotiations or due diligence. Confidentiality clauses are embedded in the contract governing the ongoing relationship. Check whether the final contract supersedes any earlier NDA.
